01Acceptance of Terms

By using the Site, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and that you have the authority to enter into these Terms on behalf of yourself or the entity you represent. These Terms may be updated from time to time as described in Section 13.

02Our Services

Binary201 is a custom software development and SaaS product company based in the United States. We design and build web applications, mobile apps, cloud infrastructure, API integrations, and other software, and we own and operate our own software products. The Site provides general information about our company, services, and products, and a way to contact us. Information on the Site is provided for general purposes and does not constitute a binding offer to provide services.

03Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable law or regulation;
• Attempt to gain unauthorized access to the Site, its servers, or related systems;
• Introduce malware, attempt to disrupt, overload, or impair the Site, or circumvent its security or anti‑spam measures;
• Scrape, harvest, or collect information from the Site by automated means without our consent;
• Submit false, misleading, or fraudulent information through our forms.

04Project Engagements & Separate Agreements

These Terms govern your use of the Site only. Any paid services, custom development work, or product subscriptions are governed by a separate written agreement — such as a proposal, statement of work (SOW), order form, or master services agreement — entered into between you and Binary201. In the event of a conflict between these Terms and a separate signed agreement covering a specific engagement, the separate agreement controls for that engagement. Submitting a form or requesting a consultation does not create a contract for services until a separate agreement is executed.

05Promotions & Offers

From time to time we may make promotional offers (for example, a fixed‑price website package). Any such offer is subject to its own stated terms, scope, pricing, renewal, and availability as described on the relevant offer page, and may be modified or withdrawn at any time. Where an offer's terms differ from these Terms, the offer's terms control for that offer.

July 4th Website Giveaway — Official Rules

No purchase necessary to enter or win. A purchase will not improve your chances of winning.

• Sponsor: Binary201, United States.
• Eligibility: Open to legal U.S. residents who are at least 18 years old and own or represent a business. Void where prohibited.
• Entry period: Entries are accepted from the date the offer goes live through 11:59 PM Central Time on July 4, 2026.
• How to enter: Complete and submit the entry form on the July 4th offer page with accurate information. Limit one entry per business. Incomplete, duplicate, or fraudulent entries may be disqualified.
• Prize: One (1) winner will receive one custom single‑page website, including one domain registration (one year), 12 months of hosting, and SSL, as described on the offer page (approximate retail value $149). The prize covers the build described on the offer page only; additional pages, features, or services are not included, and hosting renews after 12 months at the then‑current rate. Prize is non‑transferable and may not be exchanged for cash; no substitution except at our discretion.
• Winner selection & notification: One winner will be selected from all eligible entries at our reasonable discretion and contacted directly using the email or phone provided, on or about July 4, 2026. If a winner cannot be reached or does not respond within seven (7) days, we may select an alternate.
• Non‑winner offer: Entrants who submit the entry form during the entry period (by 11:59 PM Central Time on July 4, 2026) and are not selected may receive a $30 discount on the $149 website package (i.e., $119), subject to availability and the offer's terms. The discounted package does not include a free domain — the customer provides their own domain (we connect it at no charge). This discount has no cash value and may be modified or withdrawn at any time.
• General: This giveaway is not sponsored, endorsed, or administered by, or associated with, any social media platform. By entering, you agree to these rules and to our decisions, which are final. We may modify, suspend, or cancel the giveaway if it cannot be carried out as planned.

06Intellectual Property

The Site and its contents — including text, graphics, logos, the “Binary201” name and marks, layout, and code — are owned by or licensed to Binary201 and are protected by intellectual property laws. You may view and use the Site for its intended purpose, but you may not copy, reproduce, distribute, modify, or create derivative works from the Site without our prior written permission.

Ownership of deliverables created in the course of a paid engagement (and any licenses to pre‑existing or third‑party materials) is addressed in the separate agreement for that engagement, not by these Terms.

07Third‑Party Links & Services

The Site may contain links to third‑party websites or rely on third‑party services (such as hosting, email delivery, and Google reCAPTCHA). We do not control and are not responsible for the content, policies, or practices of third parties. Your use of third‑party services may be subject to their own terms.

08Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error‑free, secure, or free of harmful components, or that information on the Site is accurate, complete, or current.

09Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINARY201 AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total liability for any claim arising out of or relating to the Site will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10Indemnification

You agree to indemnify and hold harmless Binary201 and its owners, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or your violation of these Terms or any applicable law.

11Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect and handle information. By using the Site, you consent to the practices described there.

12Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict‑of‑laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Texas, unless otherwise required by applicable law. Nothing in these Terms limits any rights you may have under mandatory consumer‑protection laws in your jurisdiction.

13Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page and updating the “Last updated” date above. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
